This Textbook of Commercial Law is intended primarily for students enrolled in the undergraduate Law degree, while also serving as a valuable resource for legal practitioners more broadly. In this first volume, we begin with an examination of the General Part of Commercial Law. Particular emphasis is placed on: — the foundational principles of commercial law; — the determination of what constitutes commercial matters; — the study of the trader; and — the special regime governing commercial acts. Subsequently, attention is devoted to the commercial establishment, especially where it operates within leased premises. This leads to an analysis of the legal framework governing commercial leases, given its importance for understanding acts connected with the organisation of a business undertaking. In that context, we examine transactions relating to the commercial establishment, in particular the transfer of the business as a going concern and the transmission of ownership of the establishment within the framework of corporate mergers and divisions. Special consideration is likewise given to the lease, usufruct and pledge of a commercial establishment. Finally, reference is made to attachment, interim seizure and inventory proceedings concerning the commercial establishment. Throughout the exposition, we also examine the case law of the higher courts, which has provided valuable guidance and effective support in the study of the themes addressed.
