This Textbook is intended primarily for students enrolled in the undergraduate Law degree programme, while it is also hoped that it may prove of use to legal practitioners more generally. In this volume, devoted to commercial companies, we begin by analysing the concept of a company, the requirements for commercial status, and the defining characteristics of the company forms provided for in the Portuguese Commercial Companies Code. We then turn, in sequence, to the procedures governing their incorporation and to the legal personality and capacity of companies. Thereafter, attention is directed to shareholdings and other equity interests, followed by a study of share capital. Finally, we examine corporate organisation, focusing in particular on shareholders’ resolutions and on the administrative and supervisory bodies of the company.
