Synopsis The issue of liability of the directors for violating their reasonable decision-making duty reveals special importance because of the emphasis that has been given to the business judgment rule and its interpretation and application with regard to liability of directors. We want with this study to densify the duty to make reasonable decisions and understand what meaning to attribute to the business judgment rule. With unrivaled highlight we see the problem of substantive control from the decisions of directors. The answer we want to achieve is, whether the business judgement, the decisions of directors can be investigated by court.
